MGT232 Winter 2024 Group Video Assignment:

Mergers & Acquisitions: Newmont’s acquisition of Newcrest Mining

The group video assignment will consist of doing an analysis of an M&A transac?on – Newmont Corpora?on’s

acquisi?on of Newcrest Mining. Groups consist of 3 students in the same sec?on and have already been created by the instructor using Quercus’s random func?on for crea?ng groups. These groups are set can cannot be changed.      Crea?ng groups this way gives you an opportunity to meet your classmates since this is the ?rst year in-program for many of you. You also get the opportunity to collaborate with people you may not have collaborated with yet.

The group assignment has several objec?ves, including:

o  Help you to apply what you have learned in the course in a practical way

o  Give you the opportunity to do some research – online, and using the library and FLC resources

o  Help you develop your leadership skills

o  Give you the opportunity to learn how to work with others towards a common goal

o  Help you develop your oral and written communication skills

Your submission will be a 9-to-10 minute video, a copy of your powerpoint slides, an excel spreadsheet of any workings, and a one-page "executive summary".

Content:

The following points are applicable to all M&A deals and you should comment on at least these points, with rela?vely more ?me on points 3, 4 and 9.

1.    The parties to the transaction (i.e., the acquirer and the target)

2.    The date that the transaction was announced and completed

3.     Description of the industry and how the deal positions the merged company within the industry 4.    The rationale for the merger

o  Describe the operations of the acquirer

o  Describe the operations of the target

o  What were the potential synergies from the deal?

5.    The structure of the deal (e.g., financing, other terms of the deal)

6.     Comment on the share price reactions for both the target and the acquirer

7.     Were there multiple bidders?

8.     Was the deal hostile or friendly?

9.    Your opinion on the deal.

o  Do you think it was a good idea?

o  Do you think that the valuation was fair?  Why?

o  What are the risks that could cause the deal to not succeed?

o  Who do you think got a better deal?

More informa?on or analysis than the above points can be used in your discussion.  The more relevant content and informa?on that you discuss, the easier it will be to demonstrate cri?cal thinking.

You will have the opportunity to create engaging content, express your creative skills and discover the fascinating world of M&A. The assignment provides an opportunity to apply the knowledge and tools we cover in the course.

You will also continue to build your skills in how to work as a team and run a multi-week project. Deliverable Requirements: Due Sunday, March 31 at 11.59 pm (Submit via Quercus)

-     Video 9 - 10 minutes in length (nothing beyond 10 minutes will be graded)

-     The presentation should be 8-10 slides of content. If you have a title slide and a “Thank you” slide at the   end, these do not count as part of the eight-slide limit. The slides should be saved as a pdf and submitted with the video.

-     All members of the group must all appear in the video for more-or-less equal time. You can use a

combination of video and voice-over-powerpoint, but video must include some footage of each student’s face (doesn’t have to all be at the same time though).

-     You can use zoom for your recording – you don’t need to use any fancy video-making technology (unless you already are familiar with this of course). You don’t need to physically be in the same room for the

video, you can do it as a zoom meeting. You need to do one recording though, with all of you in the zoom meeting together.

-     Note that in the event where a member of the group drops out from the course, the remaining student(s) will continue the video project on his/her own.

-     Hand in a copy of your powerpoint slides, an excel spreadsheet of any workings, a one-page "executive summary", and Appendix A – the Academic Integrity declaration for each and all group members.

-     Refer to Appendix B for instructions on how to upload your assignment

-     Note: Only one group member should submit the assignment on Quercus

-     Questions about the transactions presented in the video will be asked in the final exam.

Academic Integrity:

The one-page executive summary and powerpoint slides will automatically be assessed by Ouriginal, UTM’s Plagiarism Detection Tool.

The grading rubric is attached as page 4 of these instructions.

Library resources:

You will greatly benefit from using the resources of the library and the Finance Learning Centre (“FLC”) for this

project. The FLC is a dedicated library space in the basement of the IMI building, and serves as a hub for students, faculty and staff interested in finance. The resources are available virtually

(https://utm.library.utoronto.ca/flc/about-us) – and the dedicated team is available to help you. You will need them for this project!

Peer review:

Within each group, all members will usually receive the same project grade. In cases where it is clear that an

individual has made li? le or no contribu?on to the group work, the instructor reserves the right to adjust that

individual's mark to a mark less than that given to the group as a whole. For example, in a situa?on in which no contribu?on has been made, a mark of zero will be given. This will help recognize individual contribu?ons and to promote equal par?cipa?on by group members.

With this in mind, a con?den?al op?onal peer review form is posted on Quercus. Group members have the op?on

to evaluate each other for their contribu?ons. I will determine a preliminary group mark for the teams' performance. This group mark may then be modi?ed for each individual group member based on the results of a con?den?al peer evalua?on if necessary. Students will receive an individual mark (not a group mark) which may or may not be the same as the group mark that is originally determined or the mark given to other group members. The instructors reserve the right to inves?gate and adjust any peer evalua?ons or individual marks.

Reference instruc?ons:

-     Use APA style.

-     If you are using an article or a journal paper, you should include your  reference to this when you are

speaking in your video, e.g. you would say “according to X (the authors) who published in the Y (journal or article) in 20xx” (keep it brief) blahblahblah. You should also include these references in your powerpoint slides, and your 1-page summary. Include the full citation information as an addendum to your 1-page

summary. The references don’t count towards your page limit.

-     The list of references with your 1-page summary should include all information sources cited in the

summary, mentioned in the video, or consulted while working on this assignment. This can include web

pages, newspaper articles, dictionary entries, and journal articles – everything you used to prepare the video and summary.

-     1-page summary:

o      Don’t include a title page

o      Recommended fonts: 11-point Calibri, 11-point Arial, and 10-point Lucida Sans Unicode as well as serif fonts such as 12-point Times New Roman, 11-point Georgia, 10-point Computer Modern

o      Recommended spacing: 1.15
